LICENSE AGREEMENT (the public offer)

1.General provisions

1.1 The present document (hereinafter referred to as the “Offer”) is a proposal by Individual Entrepreneur Bogach Mikhail Yevgenyevich (hereinafter referred to as the “Licensor”) addressed to any individual person or legal entity to conclude the License Agreement (hereinafter referred to as the “Agreement”) on the terms of the Offer.

1.2 In case the terms and conditions of the Offer are accepted, an individual person or a legal entity, which has performed the acceptance of this

Offer, thereof shall be considered as the “Licensee”.

1.3 Payment of the Agreement price constitutes acceptance of the Offer.

1.4 Acceptance of the Offer by the Licensee is considered equivalent to the conclusion of the Agreement on the terms of the Offer.

2. Definitions. The following terms have the stated meanings:

2.1 Order – list of titles of audio, video, graphic or text works received by Licensor from Licensee, which indicates Licensee's intention to purchase the right to use the works that are specified in this list.

2.2 Licensed Material - audio, video, graphic or text works offered for licensing by Licensor (hereinafter referred to as the “Works” or the “Work”) and specified by Licensee in its Order.

3. SUBJECT OF AGREEMENT

3.1 Licensor hereby grants to Licensee and Licensee hereby accepts the worldwide, non-exclusive right to use the Licensed Material in the following ways:

• to reproduce, publicly display, publicly perform, broadcast and transmit via cable;

• to incorporate into another object of copyright;

• to edit, change and transform.

3.2 Licensee may not: claim authorship of the Licensed Material; transfer the right to use the Licensed Material to third parties; as well as to sell or distribute the Licensed Material.

4. Agreement price

4.1 Agreement price is the sum of the cost of the right to use for each of the Works specified in the Order, at the time of ordering.

4.2 The Licensor publishes the cost of the right to use for each of the Works on the website www.q-sounds.com.

4.3 Licensor reserves the right to establish and change the cost of the right of use for each of the Works in its sole discretion, unilaterally and without prior notice.

5. DURATION AND AMENDMENT OF THE OFFER

5.1 The Offer becomes effective upon its publication on the website www.q-sounds.com and is valid until revocation of the Offer by the Licensor.

5.2 Licensor reserves the right to change the terms of the Offer or withdraw the Offer at any time at its discretion. In case of changes in the Offer, such changes will take effect from the date of publication of the modified text of the Offer on the site www.q-sounds.com.

6. DURATION AND AMENDMENT OF THE AGREEMENT

6.1 The Agreement becomes effective upon the acceptance of the Offer by the Licensee.

6.2 Licensor reserves the right to terminate the Agreement unilaterally in case of violation of any terms and condition of the Agreement by the Licensee.

7. OTHER PROVISIONS

7.1 Any and all legal relationships resulting from this Agreement between Licensee and Licensor are governed by the legislation applicable in the Russian Federation.

7.2 If any dispute between the Licensor and the Licensee cannot be settled by negotiation, they shall be settled by court with respect to the place of residence of the Licensor.
